1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the website and platform bigpaybharat.com ("Platform", "BigPayBharat", "Service"), owned and operated by Weserv Techno Innovative Pvt Ltd ("Company", "we", "us", "our").

By registering on, accessing, or using BigPayBharat as a Retailer, Distributor, Master Distributor, or in any other capacity, you agree to be bound by these Terms, along with our Privacy Policy. If you do not agree with any part of these Terms, please do not access or use the Platform.

These Terms are published in accordance with the Information Technology Act, 2000 and rules made thereunder, and apply to all users of the Platform operating within India.

2. Definitions

• "User" means any person who registers for or accesses the Platform, including Retailers, Distributors, Master Distributors, and Admins.
• "Services" means the fintech services offered on the Platform, including but not limited to money transfer, AEPS, BBPS bill payments, mobile recharge, UPI payments, and travel bookings.
• "Wallet" means the digital ledger balance maintained on the Platform for processing transactions and settlements.
• "Upline/Downline" means the hierarchical network relationship between Master Distributors, Distributors, and Retailers on the Platform.

3. Eligibility & Account Registration

To use the Platform, you must be at least 18 years of age and legally competent to enter into a binding contract under Indian law. You must complete registration by providing accurate and complete information, including valid identification and KYC documents as required.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Services Offered

BigPayBharat provides a platform through which registered Users can offer or avail fintech-enabled services such as domestic money transfer, Aadhaar Enabled Payment System (AEPS) transactions, BBPS bill payments, mobile/DTH recharge, UPI payments, and travel bookings, subject to applicable regulatory approvals and third-party partner terms.

The availability, features, and pricing of Services may vary from time to time and may be added, modified, or discontinued at our sole discretion, with or without prior notice.

5. KYC & Onboarding

As a fintech services platform, we are required to collect and verify identity documents such as Aadhaar, PAN, GST registration, and bank account details before activating certain Services, in compliance with applicable RBI, NPCI, and UIDAI guidelines. You agree to provide genuine and up-to-date documents and information for this purpose.

We reserve the right to suspend or reject any account where KYC verification is incomplete, inconsistent, or found to be fraudulent.

6. Wallet, Fees & Settlement

Transactions on the Platform are processed through your Wallet, which must be funded in advance through approved payment channels. Commissions, where applicable, will be calculated and credited as per the applicable commission structure communicated to you, and may be revised from time to time.

Settlement timelines for commissions and refunds are subject to processing by our banking and payment partners and may vary. We are not liable for delays caused by third-party banking infrastructure, NPCI downtime, or regulatory holds.

All fees, charges, and commissions are subject to applicable taxes (including GST) as per prevailing law.

7. User Obligations

• Use the Platform only for lawful purposes and in accordance with these Terms
• Provide accurate transaction and customer information at all times
• Not share your login credentials, OTPs, or Wallet access with any unauthorized person
• Comply with all applicable RBI, NPCI, UIDAI, and other regulatory guidelines relevant to the Services you offer or use
• Promptly report any suspected fraud, unauthorized transaction, or security incident to us
• Maintain your own records for tax and regulatory compliance purposes

8. Prohibited Activities

You must not use the Platform to:

• Engage in money laundering, fraud, or any other unlawful financial activity
• Process transactions on behalf of unverified or fictitious customers
• Circumvent, disable, or interfere with security features of the Platform
• Use automated means (bots, scripts) to access or manipulate the Platform without authorization
• Misrepresent your identity or affiliation, or impersonate any other person or entity
• Upload or transmit any content that is unlawful, defamatory, or infringes the rights of any third party

Violation of this section may result in immediate suspension or termination of your account, forfeiture of pending commissions, and reporting to relevant law-enforcement or regulatory authorities.

9. Distributor & Retailer Network

Distributors and Master Distributors are responsible for the onboarding, conduct, and compliance of Retailers within their downline network. We may share limited operational data (such as transaction status) with a User's upline as necessary for account management, commission tracking, and dispute resolution.

Nothing in these Terms creates an employment, partnership, franchise, or agency relationship between the Company and any User; all Users act as independent participants on the Platform.

10. Intellectual Property

All content on the Platform, including but not limited to the BigPayBharat name, logo, design, text, graphics, and software, is the property of Weserv Techno Innovative Pvt Ltd or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the Platform without our prior written consent.

11. Third-Party Services

The Platform integrates with third-party banking partners, payment gateways, NPCI/UIDAI systems, and travel/bill-payment aggregators to deliver Services. We are not responsible for outages, errors, or losses arising from the actions or systems of such third parties, though we will make reasonable efforts to assist in resolving related issues.

12. Suspension & Termination

We reserve the right to suspend or terminate your account, with or without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, failed KYC requirements, or posed a risk to the Platform, other Users, or our regulatory standing.

You may request closure of your account at any time by contacting us. Closure is subject to settlement of any outstanding dues and completion of applicable regulatory record-retention requirements.

13. Limitation of Liability

The Platform and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising from your use of or inability to use the Platform.

Our aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the fees or commissions paid to you (or by you) in respect of the specific transaction giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Weserv Techno Innovative Pvt Ltd, its directors, officers, employees, and affiliates from and against any claims, losses, liabilities, damages, and expenses (including legal fees) arising out of your use of the Platform, your breach of these Terms, or your violation of any applicable law or third-party rights.

15. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, network or server outages, acts of government, regulatory changes, or failures of banking/NPCI infrastructure.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at New Delhi, India, subject to any mandatory arbitration or regulatory dispute-resolution mechanism applicable to fintech platforms.

17. Amendments to Terms

We may revise these Terms from time to time to reflect changes in our practices, technology, legal, or regulatory requirements. The updated version will be posted on this page with a revised "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
